1. Acceptance of Terms

These Terms of Use govern your access to and use of ugcgenie.ai (the "Service"), operated by SEQUEL AI LTD, a company registered in England and Wales (No. 16897137), with registered office at 128 City Road, London, United Kingdom, EC1V 2NX. By creating an account or using the Service you agree to these terms. If you do not agree, do not use the Service.

2. Description of Service

UGCGenie is an AI platform that generates UGC-style video advertisements from a product brief. The Service includes:

• AI script generation grounded in customer-voice research
• AI actors, voices and automated video composition
• Multi-stage generation pipeline with creative QA
• Optional API access on eligible plans

3. Your Responsibilities

You agree to:

• Provide accurate account information
• Maintain the security of your account credentials
• Use the Service in compliance with all applicable laws
• Not use the Service to create content that violates third-party rights
• Not use the Service to create harmful, illegal, deceptive or inappropriate content, including non-consensual likenesses of real people
• Comply with the advertising-disclosure rules of the platforms where you publish generated content

4. Content Ownership

You retain all rights to the content you create using the Service. ugcgenie.ai claims no ownership over your generated videos. However, by using the Service, you grant us a license to process, store, and display your content as necessary to provide the Service.

5. Third-Party Services

The Service integrates with third-party platforms (such as TikTok, Instagram and YouTube) for publishing and inspiration. You are responsible for complying with each platform's terms of service. ugcgenie.ai is not responsible for changes, disruptions, or terminations by third-party platforms.

6. AI-Generated Content

All content generated by our AI models is created using machine learning algorithms. While we strive for quality and accuracy — including a dedicated authenticity gate that rejects ad-sounding scripts — we cannot guarantee that AI-generated content will always be error-free or suitable for your specific purposes. You are responsible for reviewing and approving all content before publication, and for any required AI-content disclosures in your jurisdiction.

7. Payments and Subscriptions

All subscriptions are billed according to the plan you select (monthly or yearly) and are processed by Stripe. By subscribing, you authorize us to charge your payment method. Subscriptions automatically renew unless cancelled before the renewal date. Applicable taxes are calculated at checkout.

8. Cancellation and Refunds

You may cancel your subscription at any time from Billing settings. Cancellations take effect at the end of the current billing period. We offer a 14-day money-back guarantee for new subscribers. Refund requests after 14 days are evaluated on a case-by-case basis.

9. Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide notice of material changes when possible.

10. Limitation of Liability

To the maximum extent permitted by law, SEQUEL AI LTD shall not be liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill. Our aggregate liability for any claim relating to the Service shall not exceed the amounts you paid us in the 12 months preceding the claim.

11. Governing Law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law provides otherwise.
