Affiliate Program Terms & Conditions

1. Overview

The UGCGenie Affiliate Program ("the Program") allows approved participants ("Affiliates") to earn recurring commissions by referring new paying subscribers to ugcgenie.ai ("the Service"), operated by SEQUEL AI LTD, a UK Limited Company (No. 16897137).

By participating in the Program, you agree to these Terms & Conditions. We reserve the right to update these terms at any time with reasonable notice.

2. Commission Structure

Commissions are calculated as 35% of the subscription's monthly price. For each billing cycle that the referred customer remains subscribed, a new commission is generated automatically.

Commission is calculated on the net subscription amount (excluding taxes and Stripe processing fees) and applies for the lifetime of the referred customer's active subscription.

3. Payouts

Commissions enter a 30-day pending period after the billing date. Once eligible, they are included in the next monthly payout batch (1st of each month), provided the minimum $50.00 USD threshold is met. Unpaid balances below the threshold carry over to the next period.

Payments are made via Stripe to your connected account. Connect your payout details in the Settings tab of your Affiliates dashboard to receive payouts. Typical settlement is 5–7 business days after the payout run.

4. Prohibited Activities

The following activities are strictly prohibited and will result in immediate account termination:

• Self-referrals: Using your own referral link to earn commission on your own subscriptions.
• Brand keyword bidding: Bidding on UGCGenie trademarks or brand terms in paid advertising.
• Spam: Sending unsolicited emails, messages, or any bulk communications promoting your referral link.
• Fraudulent activity: Creating fake accounts, using bots, click farming, or any form of artificial inflation of metrics.
• Trademark violations: Using UGCGenie trademarks, logos, or branding in a misleading manner.
• Cookie stuffing: Forcing cookies on users without their knowledge or genuine click intent.
• Incentivized clicks: Offering payment, credits, or incentives for clicking your referral link.
• Misleading claims: Making false or exaggerated claims about the platform's capabilities.

5. Reversals & Refunds

Commissions are subject to reversal in the following scenarios:

• Pending/eligible commissions: Automatically cancelled if the referred customer receives a refund.
• Paid commissions (within 90 days): A negative commission (clawback) will be created and deducted from your next payout.
• Paid commissions (beyond 90 days): Subject to admin review on a case-by-case basis.
• Chargebacks: Any chargeback dispute results in immediate commission reversal.

In the event of a negative balance resulting from refund clawbacks, the balance will be deducted from future earnings. Affiliates will not be invoiced for negative balances.

6. Termination

We may terminate your affiliate account for:

• Violation of any prohibited activity listed in Section 4
• Fraud or suspected fraudulent activity
• Inactivity for more than 12 consecutive months
• At our discretion with 30 days written notice

Upon termination, any eligible unpaid commissions above the minimum threshold will be paid out within 60 days. Pending commissions are forfeited. We reserve the right to withhold payment if fraud is suspected.

7. Taxes

Affiliates are solely responsible for reporting and paying any taxes due on commission earnings in their respective jurisdictions. ugcgenie.ai (SEQUEL AI LTD) is a UK registered company and is not required to issue 1099 forms or equivalent tax documentation.

An annual earnings summary is available for download from your affiliate dashboard to assist with tax filing.

8. Changes to the Program

We reserve the right to modify the commission rate, payment terms, cookie window, or any other aspect of the Program at any time. Affiliates will be notified of material changes via email at least 30 days in advance. Continued participation after changes take effect constitutes acceptance of the updated terms.

9. Limitation of Liability

ugcgenie.ai shall not be liable for any indirect, incidental, or consequential damages arising from your participation in the Program. Our total liability shall not exceed the total commissions paid to you in the 12 months preceding the claim.
